A limited liability company

is a business entity with authorized capital divided into shares, the amount of which is determined by its constituent documents, and is liable for its obligations only with its property. Members of the company who pay their contributions in full bear the risk of losses related to the company's activities to the extent of their contributions in accordance with Article 80 of the Commercial Code of Ukraine.

For state registration of a limited liability company (LLC)

Registration of changes in a legal entity's authorized capital

Amendments to the charter of a legal entity and changes in the amount of its authorized capital fall within the exclusive competence of the general meeting in accordance with Article 145 of the Civil Code of Ukraine.
An increase in the authorized (share) capital may be made only after all shareholders have made their contributions in full (paid for their shares), except as provided by the laws of Ukraine. The decision to change the amount of the authorized (share) capital of a legal entity becomes effective from the date of making such changes to the Unified State Register of Legal Entities, Sole Proprietors and Public Organizations.

Registration of change of founders (participants) of a legal entity

There is a certain procedure for changing the list of participants (founders) of a legal entity. The change of participants (founders) is a procedure in which the old participant withdraws and a new participant (founder) immediately enters.
As a rule, a participant (founder) leaves by withdrawing and transferring a share in the authorized capital or selling a share in the authorized capital of a legal entity. A shareholder (founder) may sell, transfer, or donate his/her share to both the company's shareholders and third parties wishing to acquire a share in the company's authorized capital. Changes in the list of founders (participants) are subject to mandatory state registration.

Registration of a change of a legal entity's location

The legal address is the location of a legal entity, the actual place of business or the location of the office from which its daily management, administration and accounting are carried out (Article 93 of the Civil Code). It is indicated in the company's permits, statements and other documents. In case of a location change, appropriate changes should be made to the constituent documents (if necessary) and to the Unified State Register of Legal Entities and Sole Proprietors.

REGISTRATION OF A SOLE PROPRIETOR SP (IE)

A citizen is recognized as a business entity

in case of carrying out entrepreneurial activity, provided that he/she is registered as an entrepreneur without the status of a legal entity as a sole proprietor in accordance to the procedure provided by law.
Hence, a citizen wishing to engage in entrepreneurial activity, after completing the relevant registration procedures in accordance with the Law of Ukraine “On State Registration of Legal Entities, Sole Proprietors and Public Organizations”, acquires an additional attribute of an individual, which he/she acquired from the moment of birth, - “entrepreneur”.

For the state registration of sole proprietors

and public organizations in accordance with Article 18 of the Law of Ukraine “On State Registration of Legal Entities, Sole Proprietors and Public Organizations”, the following documents are submitted for state registration of a sole proprietor:

  1. application for state registration of an individual as an entrepreneur;
  2. an application for choosing the simplified taxation system by an individual and/or a registration application for voluntary registration as a value added tax payer in the form approved by the central executive body responsible for the formation of state tax and customs policy - at the request of the applicant;
  3. notarized written consent of parents (adoptive parents) or guardian or guardianship authority - for an individual who has reached the age of sixteen and wishes to engage in entrepreneurial activity but does not have full civil capacity;
  4. a passport of a citizen of Ukraine or a temporary certificate of a citizen of Ukraine or a passport document of a foreigner or a certificate of a stateless person, or a permanent or temporary residence permit in case of submission of documents in person;
  5. in case of submission of documents, except for the case when information on the powers of this representative is contained in the Unified State Register, the representative additionally submits a copy of the original (notarized copy) of the document certifying his/her powers.

in accordance with Article 17 of the Law of Ukraine “On State Registration of Legal Entities, Sole Proprietors and Public Organizations”, the following documents are submitted:

  1. application for state registration of a legal entity;
  2. document confirming the establishment of a public organization;
  3. register of persons participating in the constituent congress (conference, meeting) – in case of state registration of a public association, political party;
  4. information about the governing bodies of the public organization (name, date of birth of the head, members of other governing bodies, registration number of the taxpayer's account card (if any), position, contact phone number and other means of communication), information about the person (persons) entitled to represent the public organization for registration actions (name, date of birth, contact phone number and other means of communication);
  5. the union of associations of citizens additionally submits the decision of the central statutory bodies of associations of citizens on their membership in the union.
